4. Operational Guarantees & Legal Exemption
- • Air-Gapped Delivery: Licensor delivers the offline Ed25519-signed token and npm tarball. The engine executes with exactly 0.00 bytes external telemetry or network callbacks.
- • Zero-DPA Affirmation: Because Licensor never accesses or processes Customer Data, both parties agree that Licensor is not a Data Processor under GDPR Article 28; no DPA is required.
- • SOC 2 Audit Support: Licensor provides the continuous machine-readable `ztds-evidence-binder.json` and attestation letters for Customer's AICPA SOC 2 Type II audit.
- • Anti-Disruption Grace Period: Software includes an automated 60-day operational grace period upon license expiration to ensure uninterrupted production during PO renewals.
5. Mutual Signature & Acceptance
By signing below, the Parties agree to be bound by the terms of this Order Form and the Master Services Agreement (MSA).
